Man C. Yam is a co-founder and partner at Bernard & Yam, LLP. Mr. Yam has extensive experience with representing micro-cap and small-cap public companies. Mr. Yam primary focuses on all legal aspects of representing publicly traded companies, from assisting them with executing and developing their business plans to listing their securities on a national exchange. Bin Zhou
Bin Zhou is the head of our China Practice Team, as well as a key partner of our corporate finance and securities practice. Mr. Zhou received legal education in both U.S. and China, and therefore is familiar with both countries’ legal systems. His focus areas include SEC compliance with Exchange Act and Securities Act regulations, public listings, corporate governance and Sarbanes-Oxley compliance. He has a number of years of experience with IPOs, PIPEs, reverse mergers, and private offerings. He assists our private and public company clients with capital finance and merger and acquisition transactions, and handles the structuring of complex transactions. He has advised many domestic and foreign issuers on their securities offerings and public listings and has represented investors or issuers in multiple investments transactions. In addition to his knowledge and experiences in area of the corporate and securities laws, Mr. Zhou is also knowledgeable in multinational executive immigration, real estate practice, and intellectual property rights including copy rights, patents, and trademarks.
